A service contract or service agreement is an agreement between two parties in which one undertakes to provide the other with a specific service in exchange for payment.

A service contract usually specifies the scope of the service being offered as well as the compensation or payment that will be paid to the service provider.

General Service Contract

AND

[full name and address of the service ] hereinafter referred to as ‘service provider’

WHEREAS Customer believes that Service Provider has the required and necessary skills, expertise, and ability to offer services to Customer, and Service Provider has agreed to provide services to Customer on the terms and circumstances set out in this Agreement.

NOW, THEREFORE, the Parties agree as follows: In consideration of the mutual covenants, rights, and obligations set forth in this Agreement, the benefits to be derived therefrom, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1, Services

The following services (the “Services”) are to be provided by the Service Provider to the Customer:

2. Payment

The Customer will pay $___ to the Service Provide For the services supplied by the Service Provider as required by this Agreement. The payment will be as follows

3. Reimbursement

The Customer undertakes to reimburse the Service Provider for any expenses incurred as a result of the Services being performed. Before incurring any expense, the Service Provider commits to submit it to the Customer for approval. All expenses must be approved in writing before they can be paid.

The Customer shall not be responsible for any expenses that were not pre-approved by the Service Provider.

4. Duration

This Agreement shall go into effect on [commencement Date] and will continue in full force and effect until the Services are completed. The parties may extend this Agreement by mutual written agreement.

5. Termination

Either Party may terminate the Agreement at any time by giving the other Party ____ days written notice.

If the Customer terminates the Agreement, the Customer is still obliged to pay the Service Provider for any Services provided up to the date of termination, as well as any expenditures approved but not paid prior to the termination date.

If the Service Provider cancels the Agreement, the Customer will be refunded any sums previously paid to the Service Provider for which the Service Provider has not yet provided the Services.

When both parties have completed all of their obligations under the Agreement and all payments have been received, this Agreement will automatically be termed terminated.

6. Non-exclusivity

The Parties acknowledge that this Agreement is not exclusive. The parties agree that they are free to enter into future agreements of this nature with other parties.

The Service Provider agrees not to enter into any agreements that are incompatible with the Service Provider’s duties under this Agreement.

7. Independent-contractor

In providing the Services under this Agreement, the Service Provider is working as an independent contractor, not as an employee.  The party agrees that this Agreement does not form a joint venture or a partnership between them.

8. Confidentiality 

The service provider will have access to confidential information that is the customer’s property. During the performance of the service and after the termination of this contract, the service provider is not allowed to share confidential information with anyone without written permission from the customer.

9. Dispute Resolution

Negotiation: In the event of a dispute, the parties agree to try to resolve it through good-faith negotiation.

Mediation/ Arbitration: The Parties agree to resort to binding mediation or arbitration if a dispute cannot be resolved through good faith negotiation.

Litigation: The parties agree to resort to litigation in case the dispute cannot be resolved by negotiation and mediation/ Arbitration.

10. Governing law

This contract shall be governed, interpreted, and construed in accordance with the laws of [state, province, or territory].

CONSULTING SERVICES AGREEMENT

THIS CONSULTING SERVICES AGREEMENT (The “Agreement”) is entered into this____________, 20_,

Between

ABC co. LLC, having its principal place of business at 200 Lincoln Avenue, Breckenridge, Colorado 802423
(” the Company”),

and

XYZ LLC,  having its principal place of business at 00 Lincoln Avenue, Breckenridge, Colorado 802423 (“Consultant”)

WHEREAS, the Company wishes to hire a Consultant to undertake [insert the servicers to be performed] in accordance with the conditions of this Agreement.

AND WHEREAS Consultant has agreed to provide services to Customer on the terms and circumstances set out in this Agreement.

NOW THEREFORE, the company and Consultant in consideration of the above Recitals, which are therefore incorporated into the following Agreement, and in consideration of the mutual pledges made herein, the receipt and sufficiency of which are hereby acknowledged agree as follows;

1, Service

Consultant promises to provide the services listed below (the “Services”) in a timely, efficient, and professional way.

Consultant represents and understands that the Services provided under this Agreement will be performed on Consultant’s own equipment at Consultant’s home or place of business, during Consultant’s own hours and times. The consultant is providing these types of services to parties other than the company and the Consultant is not obligated to deliver services exclusively to the company during the length of this Agreement.

2. Remuneration

The company shall pay $[insert the total cost of the service] the Consultant for the performance of the services outlined in this Agreement if the Services are performed satisfactorily.

There will be no salary or hourly rate of pay. Until the company deems the Consultant’s performance satisfactory, the company is under no obligation to make any payments. All payments made under this contract must be sent to the Consultant’s trade or business name. Under the terms of this contract, no payments will be provided to an individual.

Invoices: On a monthly basis, the Consultant will submit invoices that detail the Services provided and expenses spent in accordance with this Agreement. Payment must be made within twenty-five (25) days after receipt of such invoices.

3. Term

The Agreement may be terminated sooner if the Consultant completes the Services and the company accepts them, or if the termination criteria set forth herein are met.

4. Termination

If the Consultant violates the provisions of this Agreement or fails to provide a service that fulfills the specifications of this Agreement, Company may cancel this Agreement at any time. Payments shall be provided to the Consultant for all work completed up to the date of termination in the case of termination.

5. Relationship

The parties acknowledge and agree that the Consultant is an independent consultant who is not an employee, agent, or servant of the Company and is not entitled to any company’s employment benefits.

6. Change in the Work

The Company may request additions, deletions, or revisions to the activities and services described in this Agreement. All changes must be documented in a formal Change Order that specifies the work to be added, amended, or removed, the cost increase or decrease, and any change in the project’s completion date. The Change Order must be signed by the Consultant and the Company, or their fully authorized agents.

7. Quality of service

The Consultant guarantees to the Company that all services performed will be of high quality, meet the highest professional standards, and comply with this Agreement.

8. Product

Any data, reports, drawings, documents, or other things or information provided by the Company to the Consultant during the performance of services under this Agreement, as well as any reports, drawings, or other writings required under this Agreement’s services, shall be and remain the Company’s sole property at all times. By the completion date and before complete payment of the compensation herein, the Consultant shall return or transmit to the County such documents, etc.

9. Assignment

This Agreement is for personal services based on the Consultant’s unique skills or knowledge, and the Consultant may not assign this Agreement in whole or in part without the Company’s prior written agreement.

10. Amendment

Only a fully authorized written instrument executed by the parties hereto may modify or change this Agreement.

11. Severability

If any provision of this Agreement is found to be invalid or unenforceable, such invalidity or unenforceability shall not render the entire Agreement invalid or unenforceable; rather, the entire Agreement shall be construed and enforced as if it did not contain the particular invalid or unenforceable provision or provisions, and the parties rights and obligations shall be construed and enforced accordingly, in order to carry out the essential intent and purposes of this Agreement.

12. Dispute Resolution
